Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and FixOps.io, operated by Matthew ("FixOps," "we," "our," or "us"). By accessing or using fixops.io or any of our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you are using our Service on behalf of an organization or company, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

FixOps.io provides automated HubSpot portal auditing services ("Service") that analyze your HubSpot CRM configuration and data to identify issues, inefficiencies, and improvement opportunities. Our Service includes:

• Free portal health audits with scoring across multiple dimensions
• Paid subscription plans with ongoing monitoring and deeper analysis
• Done-for-you remediation services performed by FixOps personnel
• Audit reports delivered via email and web interface
• Recommendations, fix guides, and prioritized action plans

The Service is provided "as is" and is subject to change. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice.

3. Eligibility

You must be at least 18 years of age to use our Service. By using the Service, you represent and warrant that:

• You are at least 18 years old
• You have the legal authority to enter into this agreement
• You are authorized to grant FixOps access to any HubSpot portal you connect
• Your use of the Service does not violate any applicable laws or regulations

4. HubSpot Connection & Permissions

To use FixOps, you must authorize our application to access your HubSpot portal via OAuth 2.0. By connecting your HubSpot account, you:

• Grant FixOps read-only access to your HubSpot portal data as described in our Privacy Policy
• Represent that you are an authorized administrator of the connected HubSpot portal
• Confirm you have authority to grant third-party access to the portal on behalf of your organization
• Acknowledge that FixOps will access certain portal data to perform the audit

You may revoke FixOps' access to your HubSpot portal at any time by navigating to HubSpot → Settings → Integrations → Connected Apps → FixOps → Disconnect.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service to access HubSpot portals you are not authorized to access
• Attempt to reverse engineer, decompile, or disassemble any part of the Service
• Use automated tools to scrape or extract data from our platform beyond normal use
• Resell, redistribute, or sublicense access to the Service without our written consent
• Use the Service for any illegal purpose or in violation of any applicable laws
• Attempt to circumvent any security measures or access controls
• Submit false or misleading information when using the Service
• Interfere with or disrupt the integrity or performance of the Service

6. Intellectual Property

The Service, including all content, features, functionality, algorithms, scoring methodologies, software code, designs, and branding, is owned by FixOps.io and protected by intellectual property laws.

Your audit results and reports are generated for your use. You may share your FixOps audit report with your team and stakeholders. You may not represent FixOps audit results as your own proprietary methodology or resell them as such.

Your HubSpot data remains your property at all times. We do not claim ownership of any data accessed from your HubSpot portal.

7. Payment Terms

Free audits are available without payment. Paid subscription plans and done-for-you services are subject to the following terms:

• Subscription fees are billed monthly or annually as selected at purchase
• All fees are non-refundable except as required by law or as explicitly stated in writing
• We reserve the right to change pricing with 30 days written notice
• Failure to pay may result in suspension or termination of your account
• Done-for-you service fees are quoted individually and agreed upon before work begins

8. Disclaimer of Warranties

We do not warrant that:

• The Service will be uninterrupted, error-free, or completely secure
• Audit results will be 100% complete or accurate in all cases
• Recommendations will produce specific business outcomes
• The Service will meet your specific requirements

Audit results are informational and based on data available through HubSpot's API at the time of the audit. We recommend verifying critical findings directly in HubSpot before taking action.

9. Limitation of Liability

Our total cumulative liability to you for any claims arising out of or related to the Service shall not exceed the greater of (a) the amount you paid to FixOps in the 12 months preceding the claim, or (b) $100 USD.

10. Indemnification

You agree to indemnify, defend, and hold harmless FixOps.io and its operators from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

• Your use of the Service in violation of these Terms
• Your violation of any applicable law or regulation
• Your unauthorized access to or use of any HubSpot portal
• Any misrepresentation made by you in connection with the Service

11. Termination

Either party may terminate use of the Service at any time. We reserve the right to suspend or terminate your access to the Service immediately, without notice, if we reasonably believe you have violated these Terms.

Upon termination:

• Your access to the Service will immediately cease
• Any stored audit results will be deleted within 7 days
• Provisions that by nature should survive termination will remain in effect, including intellectual property, disclaimer of warranties, limitation of liability, and indemnification

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Georgia.

13. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page and notify users via email when possible.

Your continued use of the Service after changes are posted constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.
